Terms and Conditions of Sale

1. Introduction

These Terms and Conditions (“Terms”) govern the sale of products through our website (“we,” “us,” or “our”). By placing an order, you (“the customer” or “you”) agree to be bound by these Terms. Please read them carefully before completing your purchase.

2. Orders and Acceptance

2.1. All orders placed through our website are subject to acceptance and availability.
2.2. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraudulent activity or errors in pricing or product information.
2.3. Confirmation of your order will be sent via email once payment has been received and the order has been accepted.

3. Payment

3.1. Payment must be made in full at the time of order through the designated payment methods on our website.
3.2. All prices are inclusive of VAT where applicable and are quoted in GBP.
3.3. Where we have agreed to a credit arrangement, invoices are payable within thirty (30) days of the invoice date, unless otherwise specified in the credit agreement.
3.4. We reserve the right to change prices without prior notice, but any orders accepted will be billed at the prices in effect at the time of acceptance.

4. Delivery and Ownership

4.1. Delivery times are estimates, and we shall not be liable for delays outside of our control.
4.2. All goods remain our property until full payment has been received. Ownership of the goods shall only transfer to you once payment has been made in full, and the goods have been delivered to your designated location.

5. Notification of Discrepancies

5.1. You must inspect the goods immediately upon receipt.
5.2. Any discrepancies, damages, or missing items must be reported to us within three (3) days of receipt.
5.3. Failure to notify us within this period may affect your rights to claim or rectify issues.

6. Returns and Refunds

6.1. Perishable Items: We do not accept returns or provide refunds for perishable items unless they are damaged or faulty at the time of delivery. If perishable goods are damaged upon arrival, please contact us within three (3) days with photographic evidence.
6.2. Special Order Items: Items made or sourced specifically for the customer (“special orders”) are non-returnable and non-refundable unless faulty or damaged upon receipt.
6.3. General Returns: For non-perishable, non-special order items, returns are accepted within 14 days of delivery, provided the items are unused, unopened, and in their original packaging. Customer is responsible for all return shipping costs unless the return is due to our error or defective goods.

7. Warranties and Manufacturer’s Guarantees

7.1. All manufacturer warranties are held by the respective manufacturers.
7.2. We do not provide or guarantee any warranties beyond those offered by the manufacturer.
7.3. Claims under warranty must be directed to the manufacturer in accordance with their terms and conditions.

8. Limitation of Liability

8.1. Our liability is limited to the purchase price of the goods.
8.2. We are not liable for any indirect, consequential, or incidental damages arising from the use or inability to use the products.

9. Intellectual Property

All content on our website, including images, text, logos, and trademarks, are protected by intellectual property rights and may not be reproduced or used without permission.

10. Governing Law and Jurisdiction

10.1. These Terms and Conditions, and any contract formed between us, shall be governed by and construed in accordance with the laws of England and Wales.
10.2. Any disputes arising out of or in connection with these Terms or the sale of goods shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Dispute Resolution and Mediation

11.1. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, or validity thereof, the parties shall first attempt to resolve the matter amicably through good-faith negotiations.
11.2. If the dispute cannot be resolved through negotiations, the parties agree to submit the dispute to mediation before pursuing formal legal proceedings.
11.3. The mediation shall be conducted by a qualified mediator appointed by mutual agreement or, failing agreement, appointed by an appropriate mediation service in England.
11.4. The costs of mediation shall be shared equally unless otherwise agreed.
11.5. Nothing in this section shall prevent either party from seeking interim or injunctive relief from a court.
